If he is here on a student visa he may be allowed to marry but he may have to leave the country when his visa is up. This all depends on what country he is from and whether immigration believes he is not marrying you just to get to stay in this country.
If he is a resident alien, with a green card. Then he has almost all the same rights and privileges that you do. There may be some extra paperwork involved, something the clerk of the courts would be able to tell you when you file for your license. Other than paperwork there should be no problem.
If he is in the country illegally, filing for a marriage license could cause his arrest and deportation. One reason of course is it is wrong to be here illegally even if he was brought here as a child by his parents. Second he could be arrested for trying to marry a U S citizen to gain legal status. This too is unlawful and you could be charged as well if found complicit.
I know these answer we have given you are not the ones you want to hear. The best advice I or any of us can give you is. If you two really want to marry he needs to first straighten out his immigration status. You need to find a good immigration lawyer. You can call your local Bar Association for a recommendation. Remember that conversations with a lawyer are confidential so you can speak freely with the lawyer without fear.
There are no guarantees that legal status will be gained for your boyfriend by the lawyer. Much depends on how he came to this country. If he's illegal then forget it.
So, if he was serious the first step would be to apply for a visa which means he can live in your country. This can be temporary and then can switch to permanent. He can then apply to be a us citizen-this takes YEARS after all the tests etc.
Then you can think of marriage.
