Also, try the command line version of format. It might give your more information about why it failed. Go to start, run (or type WinKey+R). Type this and press ok:

A black box will come up. Type this into the black box, replacing S: with the letter of your flash drive:

you have probably tried this already but maybe your doing something wrong, or you overlooked something. If it isnt very old or hasnt been damaged I am not sure.
